These Terms of Service ("Terms") govern your access to and use of RaiseOS (the "Service"), operated by RaiseOS ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part, you may not access the Service.

1. Account Registration

To use the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the security of your password and account credentials.
Promptly update your account information to keep it accurate.
Accept all risks of unauthorized access to your account and notify us immediately of any breach.

2. Acceptable Use

You agree not to use the Service to:

Engage in any illegal activities or violate applicable laws.
Upload false, misleading, or fraudulent information about your startup, investment firm, or qualifications.
Harass, abuse, or harm other users of the Service.
Attempt to gain unauthorized access to other accounts, systems, or networks.
Interfere with or disrupt the Service or its infrastructure.
Use the Service for unsolicited communications (spam).
Scrape, mine, or extract data from the Service without authorization.

3. User Content

You retain ownership of any content you submit, post, or display on the Service (including startup profiles, pitch decks, investor information, and documents in the Data Room). By submitting content, you grant us a limited license to use, store, and display that content solely for the purpose of providing the Service to you and other authorized users.

4. Intellectual Property and Proprietary Data

The Service and its original content (excluding user-submitted content), features, and functionality are and will remain the exclusive property of RaiseOS. The Service is protected by copyright, trademark, and other laws.

Proprietary Investor Dataset

The investor database, including but not limited to investor profiles, firm data, investment theses, ticket sizes, geographic preferences, stage preferences, portfolio information, team member details, and all related structured and unstructured data (collectively, the "Investor Dataset"), is the exclusive intellectual property of RaiseOS.

You expressly agree that you shall not:

Copy, reproduce, extract, scrape, or systematically download the Investor Dataset, in whole or in part.
Sell, resell, license, sublicense, distribute, or otherwise commercially exploit the Investor Dataset.
Use the Investor Dataset to build or enhance a competing product, database, or service.
Share, redistribute, or make available the Investor Dataset to any third party outside the Service.
Use automated tools (bots, crawlers, scripts) to access or collect data from the Investor Dataset.

Any unauthorized use of the Investor Dataset constitutes a material breach of these Terms and may result in immediate account termination and legal action, including claims for damages and injunctive relief.

5. Data Room — Disclaimer of Liability

The Data Room feature allows users to upload and share confidential documents (such as pitch decks, financial models, and business plans) with selected recipients via secure links.

Important Disclaimer

By using the Data Room feature, you acknowledge and agree that:

RaiseOS is not responsible for any data leakage, unauthorized sharing, misuse, or malicious use of documents and information shared through the Data Room by any recipient or third party who gains access to the shared content.
The decision to share confidential information via the Data Room is made entirely at your own risk and discretion. You are solely responsible for determining which documents to share and with whom.
RaiseOS provides the Data Room as a technical tool for document sharing and does not act as a guarantor, custodian, or fiduciary of any shared content.
RaiseOS shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising from the unauthorized access, disclosure, or misuse of Data Room content by recipients or any other third parties.
You are encouraged to use appropriate legal agreements (e.g., Non-Disclosure Agreements) directly with recipients before sharing sensitive information.

6. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in our Privacy Policy.

7. Third-Party Services

The Service may integrate with or link to third-party services. We are not responsible for the content, privacy practices, or availability of these services. Your use of third-party services is at your own risk.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

IN NO EVENT SHALL RAISEOS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU, IF ANY, DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless RaiseOS and its affiliates from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.

11. Account Termination

We may terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.

You may also delete your own account at any time through the Settings page. Upon deletion, your data will be handled as described in our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Italy.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
